I. Registration Costs (One-off Fee for the First Year)

The one-off fee for registering a Hong Kong company in the first year is an all-inclusive payment. A formal quotation with no hidden costs will clearly cover the following three core items:

1. Government Fees: Consist of the registration fee charged by the Companies Registry of Hong Kong and the annual fee for the Business Registration Certificate issued by the Inland Revenue Department of Hong Kong. The fee standard is adjusted annually by the government and is a mandatory expense.

2. Statutory Secretary Service Fee: Hong Kong company law mandates that every company must appoint a statutory secretary (who must be a Hong Kong resident or a local authorized institution). The service includes document submission, compliance reminders, and forwarding of official government correspondence.

3. Registered Address Hosting Fee: Also a legal requirement, the company must provide a valid physical office address in Hong Kong for receiving official government documents and legal notices. Virtual addresses are not permitted.

The fee varies based on the company’s transaction volume and number of business deals, and there is no uniform fixed standard.

– For companies with no business operations and no bank transaction records, a “dormant company audit report” can be issued, with a lower fee compared to the audit for active companies.

3. Applicable Conditions and Risks of Zero Tax Filing

– Applicable Conditions: The company has absolutely no business activities whatsoever, with no bank account transactions, no business contracts, no inflow or outflow of funds, and no acquisition of any assets.

– Risks: Filing zero tax returns when the conditions are not met will be deemed tax fraud once investigated by the Inland Revenue Department. This may lead to fines, back taxes payment, and even damage to the personal credit of the company’s directors, which will hinder future applications for Hong Kong residency or cross-border business development.
