📜 Statutory Mandatory Requirements (Must Comply)
– Personnel & Structure: A minimum of one shareholder and one director (can be the same person). There are no nationality or residency restrictions; however, the director must be a natural person (cannot be a corporate entity).
– Address & Secretary: You must have a local physical address in Hong Kong (PO Boxes are not accepted). Additionally, you are required to appoint a local Hong Kong secretary (either a Hong Kong resident or a licensed secretarial company).
– SCR Registration: Within 30 days of incorporation, you must maintain a Register of Controllers (SCR) detailing the beneficial owners. Failure to comply may result in a fine of up to HKD 500,000.
📄 Required Documents & Certifications for Foreign Nationals
– Identity Proof: Valid passport (validity period ≥ 6 months) + Proof of Residence (utility bill or bank statement) issued within the last 3 months.
– Document Certification: Non-English documents are recommended for translation. Shareholders from sensitive regions may be required to provide an apostilled certificate of no criminal conviction.
– Account Opening Documents: Certificate of Incorporation (CI), Business Registration Certificate (BR), Articles of Association (AoA), director and shareholder identity documents, business contracts/logistics documents, and a business plan.
